David White

Managing Partner

David A. White is the founding member and managing partner of Daedalus Law PLLC. He has extensive experience in general corporate matters, particularly acquisition transactions, private offerings and corporate governance. He has previously represented several large and middle-market asset managers in successfully and swiftly negotiating complex deals with sophisticated counterparties. Currently his practice focuses on supporting the general counsels of private equity funds, venture capital firms, banks and other financial clients, particularly in connection with their repeat, high-volume contracts.

David received his J.D. from Columbia Law School in New York, where he served as co-president of the Columbia Society of International Law and Staff Editor of the Columbia Business Law Review. He earned his B.S. (finance concentration) from the Wharton School of the University of Pennsylvania. He began his legal practice at Schulte Roth & Zabel, an AmLaw 200 firm, before joining Sterlington, PLLC, a boutique, full-service law firm, as a founding attorney hire and ultimately serving as its President. He is a member of the State Bar of New York.

David is focused on project management and the integration of technology into legal practice, and routinely works with clients to develop and streamline their contract negotiation processes and management systems. David’s mission, and that of Daedalus Law, is to empower attorneys to deliver consistent, high quality work product on predictable timeframes, while providing a collegial, enjoyable work environment that maximizes attorney flexibility and minimizes turnover.

Alison Wilde

UK Senior Counsel

Alison Wilde is the UK senior counsel at Daedalus Law PLLC and is based in the United Kingdom.

Alison qualified as a lawyer at a major law firm in the City of London in 1995, with her early professional career focused on assisting UK and multi-national corporate clients with litigation and commercial transactions. She has since worked in private practice, in-house and as a freelance legal consultant.

Currently, Alison’s primary professional focus is on drafting, negotiating and advising on a wide variety of commercial contracts for corporate clients, including confidentiality agreements.

Alison gained her Bachelor of Laws degree for the University of Exeter and Solicitors Finals at the Guildford College of Law.

Karen E. Wolfgang-Swanson

Senior Counsel

Karen E. Wolfgang-Swanson is a senior counsel at Daedalus Law PLLC, where she handles non-disclosure agreements for private equity funds and other financial institutions. She has over ten years of experience as a commercial banking transactions attorney at Shearman & Sterling, Clifford Chance, and Sidley Austin, among other firms. She represented major financial institutions negotiating single-bank and syndicated secured and unsecured commercial loan and credit facilities. She has also worked as counsel for premier nonprofit arts and media institutions.

Karen received a B.A. in English, magna cum laude, with Distinction in the Major, from Yale University and a J.D. from the University of Pennsylvania Law School, and she holds certificates in editing and publishing from New York University. She is admitted to practice in the State of New York.

Karyn Zeldman

Senior Counsel

Karyn B. Zeldman is a senior counsel at Daedalus Law PLLC. Her professional experience includes roles at large law firms practicing bankruptcy law and advising on financial restructuring matters. She has previously represented private equity funds, bondholder groups and other financial intermediaries in restructuring and bankruptcy proceedings. Karyn has experience negotiating and drafting various corporate agreements, including, confidentiality agreements, claims trading documentation and related credit documents and providing ongoing advice regarding trading of claims and access to potential material non-public information.

Currently, Karyn focuses on supporting the general counsels of private equity funds in connection with their confidentiality and other corporate agreements. Karyn received her B.A from McGill University and J.D. from New York Law School.

Lindsay Yang

Counsel

Lindsay is an experienced corporate and transactional attorney. She is currently focused on assisting private equity funds with their investment transactions.

Previously, as an associate at Sterlington PLLC, she worked with financial institutions on their review and management of contracts, as well as with start-up companies and family offices on their acquisition deals and on executive compensation and corporate governance matters.

Prior to that, she worked on several cross-border energy projects as an in-house counsel at SK Group of Korea. Lindsay holds LL.M. from NYU School of Law and is admitted to practice in Korea and New York.
